1. Services

Collebra Essentials provides China-based product sourcing and procurement services, including but not limited to:

• Supplier identification and verification
• Price negotiation with manufacturers
• Sample procurement and review
• Pre-shipment quality inspection
• Private label and OEM/ODM coordination
• Shipping, freight forwarding, and customs documentation
• Amazon FBA preparation and direct-to-warehouse fulfilment

The specific scope of services for each engagement is confirmed in writing before work begins.

2. Quotes and Pricing

All quotes provided by Collebra Essentials are estimates based on the information available at the time of the request. Final pricing may vary based on supplier availability, exchange rates, shipping costs, and other factors outside our control.

Our service fee is clearly disclosed in your quote before you commit to any order. We do not charge hidden fees. You will not be invoiced for any amount beyond what was agreed in writing.

3. Payments

Payment terms are confirmed in your quote. Typical terms require a deposit before production begins and the balance before shipment. All payments are made to Collebra Essentials LLC. We do not ask clients to wire money directly to Chinese suppliers.

We accept bank wire transfer (T/T), PayPal, and other methods as confirmed at the time of your order. Payments are non-refundable once production has commenced, except where we are at fault.

4. Quality Inspection

We conduct a pre-shipment inspection on every order. If goods fail inspection, we will notify you with a full report and photos. We will work with the supplier to rework or replace defective goods before re-inspecting. We will not ship any order without your approval following an inspection.

While we take all reasonable steps to ensure quality, we cannot guarantee that every product will be free from defects. Our inspection is based on a representative sample of the goods and the specifications you provide.

5. Shipping and Delivery

Shipping timelines are estimates and are subject to factors outside our control, including carrier delays, port congestion, and weather events. We are not liable for delays caused by third-party carriers or force majeure events.

Risk of loss passes to the client upon handover to the freight carrier, unless otherwise agreed in writing.

6. Customs Duties and Import Taxes

The client is solely responsible for all customs duties, import taxes, tariffs, and related fees applicable in the destination country. Collebra Essentials will prepare the required shipping and customs documentation and will advise on likely duty rates where possible, but we make no guarantee as to the accuracy of duty estimates.

Any delays or costs arising from customs clearance are the responsibility of the client.

7. Intellectual Property

If you provide us with designs, logos, or other intellectual property for use in private label or custom products, you represent that you own or have the right to use such materials. You agree to indemnify Collebra Essentials against any claims arising from the use of materials you provide.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Collebra Essentials LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, or loss of business opportunity, arising out of or in connection with our services.

Our total liability to you for any claim arising from our services shall not exceed the total fees paid by you to Collebra Essentials LLC in the three months preceding the claim.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, USA, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Travis County, Texas.

10. Changes to These Terms

We reserve the right to update these Terms at any time. The "Last updated" date at the top of this page will reflect any changes. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms.
